It’s a good point and not sure how it works in practice. On the Rice deal it took them a while to agree on the total fee and then another few weeks to discuss and agree payment schedule so not sure if both are discussed from the outset or if it starts with agreeing the overall fee then payment structure is a secondary negotiation.The one thing that none of us know, was the payment structure of any offer.
